Position – Assistant Manager/Deputy Manager, Legal and Compliance

Qualification – LL.B., CS is desirable but not mandatory

Key Responsibilities

Compliance

  1. Ensure effective implementation of Compliance Management Framework within the Company through timely implementation and monitoring of all regulatory requirements.
  2. Analyse and comment on draft regulations and circulars issued by Regulators (PFRDA in particular). 
  3. Manage regulatory change management by carrying out Impact Analysis (along with business) of new laws and regulations and ensure their dissemination and implementation by the various functions.
  4. Support in establishing Operational Processes and Policies in co-ordination with the respective functions.
  5. Apprise Senior Management of the status of Regulatory Compliances.
  6. Build critical relationships with internal clients.
  7. Ensure that personal securities transactions of designated employees avoid conflict of interest with the transactions of the Company.
  8. Ensure timely and accurate submission of data and reports (regular and ad hoc) to the regulatory authorities.
  9. Ensure co-ordination with internal teams and rigorously follow-up for timely submissions

 

 

Secretarial and Legal

 

Secretarial

 

  • Preparation of draft documents for the Board, Committees and shareholders of the Company and drafting related documents including resolutions, minutes, notices, reports etc.
  • Maintaining Statutory Books (secretarial)/ Registers of the companies and timely filing/ submission of statutory forms/ returns/ documents etc. with the authorities
  • Preparation of Annual Report and Directors Report of the Company
  • Preparation of draft documents for filing with MCA/ROC

 

Legal and advisory

 

  • Drafting and vetting various kinds of deeds, agreements, contracts, arrangements, MOUs etc.
  • Provide advisory to the business and make recommendations to Management, wherever required.
  • Preparation of draft applications, responses and communication to the PFRDA relating to the relevant matters.
  • Review of Marketing collaterals

 

 

Skills : AML/KYC compliances, Compliance trackers, Compliance Audit, Adherence to code of conduct. A person writing Statutory and Regulatory compliances under core competencies does not make him suitable for this position.               

 

Experience :

  • 3 to 5 years of good exposure in legal and compliance function. The candidate should be preferably from Financial Sector (Candidates from PFM/POP will be added advantage).
  • Also, semi-qualified CS is not fine with us. The candidate should have completed CS. Otherwise, good candidates with exposure in legal and compliance function in a Financial Sector may be considered without CS qualification.
